BVERTERE TERMS OF SERVICE & PROTOCOL AGREEMENT

IMPORTANT NOTICE REGARDING RISK & AUTONOMOUS SYSTEMS
PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING, CONNECTING YOUR CRYPTOGRAPHIC WALLET, OR INTERACTING WITH THE BVERTERE PROTOCOL, PLATFORM, OR ASSOCIATED SPATIAL TELEMETRY ENGINES, YOU EXPRESSLY AGREE TO BE BOUND BY ALL TERMS INCORPORATED HEREIN. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE INTERFACE.
1. ARCHITECTURAL FRAMEWORK & SYSTEM DEFINITIONS
This Terms of Service Agreement ("Agreement" or "Terms") constitutes a legally binding contract between you ("User," "Entity," or "Node Operator") and Bvertere Protocol Inc. ("Company," "we," "us," or "our"). This Agreement governs your access to and use of the Bvertere interface, proprietary Artificial Intelligence models, spatial mapping nodes, and integrated decentralized financial software protocols (collectively, the "Platform").
To establish explicit legal clarity, the following operational components are defined:
• "Geo Mining Engine": The proprietary hardware-software framework that captures, aggregates, validates, and hashes spatial coordinates, GNSS/GPS metrics, and environmental sensor telemetry.
• "AI Scoring & Yield Protocol": The machine-learning algorithms that autonomously evaluate spatial data verification density, calculate proof-of-location validity, and dynamically route programmatic incentives.
• "Non-Custodial Interface": The client-side software gateway that facilitates User interaction with underlying public distributed ledgers (blockchains) without taking custody of User assets or private key material.
2. NON-CUSTODIAL SOVEREIGNTY & CRYPTOGRAPHIC SECURITY
2.1 Exclusive User Control: Bvertere is a non-custodial interface. At no time does the Company possess, control, hold, or maintain custody of your digital assets, cryptographic private keys, seed phrases, or wallet credentials. You retain exclusive legal title and cryptographic control over your digital wallets and funds at all times.
2.2 Assumption of Wallet Risk: You are strictly responsible for maintaining the confidentiality and security of your private keys, hardware devices, and recovery phrases. The Company shall have zero liability for any unauthorized access, compromise, wallet drain, key loss, or irreversible transaction executed through your wallet interface.
3. GEO MINING, SPATIAL TELEMETRY & PROOF-OF-LOCATION
3.1 Spatial Telemetry Authorization: By deploying nodes, interacting with Geo Mining software, or transmitting spatial verification packets, you grant the Company a perpetual, worldwide, non-exclusive, royalty-free license to ingest, aggregate, obfuscate, and utilize spatial telemetry to validate Proof-of-Location (PoL) and maintain spatial ledger integrity.

3.2 Anti-Spoofing & Hardware Verification: The Geo Mining Engine incorporates advanced anti-spoofing algorithms, signal-delay measurements, and hardware attestation routines. You explicitly agree not to engage in:
• GPS/GNSS signal emulation, location spoofing, or virtualization of geographic telemetry; • Sybil node generation, artificial transaction inflation, or hardware tampering; • Automated packet injection intended to manipulate algorithmic yield distribution.
Violation of this section results in immediate, permanent protocol-level blacklisting of affected public wallet addresses, forfeiture of pending programmatic incentives, and potential civil action for system poisoning.
4. ARTIFICIAL INTELLIGENCE & ALGORITHMIC DISCLAIMERS
4.1 Stochastic Output Acknowledgment: The Platform utilizes proprietary probabilistic machine learning and AI engines to analyze spatial trends, optimize network throughput, and calculate dynamic risk parameters. You acknowledge that AI outputs are probabilistic in nature, subject to mathematical drift, and do not constitute financial advice, investment management, or guaranteed returns.
4.2 Absence of Fiduciary Duty: Neither the Company nor its AI models act as a financial advisor, broker, custodian, or fiduciary to you. The evaluation scores, yield projections, and data analytics provided by the AI engine are purely informational and executed via autonomous code.
4.3 Autonomous Protocol Modifications: The AI framework may dynamically adjust network difficulty parameters, spatial validation thresholds, and node reward multipliers based on real-time network stress, spatial density, or detected attack vectors without prior notice.
5. REGULATORY COMPLIANCE, AML & SANCTIONS SCREENING
5.1 OFAC & Global Sanctions: You represent and warrant that neither you, nor any entity you represent or control, is named on any government sanctions list (including the U.S. OFAC Specially Designated Nationals List, EU Consolidated Sanctions, or UK Sanction Lists), located in, organized in, or a resident of any comprehensively sanctioned jurisdiction.
5.2 Compliance Verification: To comply with international Anti-Money Laundering (AML) and Counter-Financing of Terrorism (CFT) mandates, the Company reserves the right to employ zero-knowledge credential verification or third-party wallet screening protocols. Interface access may be restricted automatically for wallet addresses linked to illicit origin, mixer services, or sanctioned entities.
6. ON-CHAIN IMMUTABILITY & THIRD-PARTY DISTRIBUTED LEDGERS
You recognize and accept that blockchain networks are public, immutable, and independent of the Company. The Company does not own, control, or operate the underlying distributed ledgers on which transactions are broadcasted. Consequently, the Company cannot pause, reverse, cancel, or modify transactions executed on-chain, nor is it liable for network congestion, protocol forks, smart contract exploits, or third-party blockchain downtime.
7. INTELLECTUAL PROPERTY RIGHTS
All right, title, and interest in and to the Platform, including software code, UI design, spatial hashing algorithms, AI model architectures, trademarks, and Geo Mining protocols (excluding user-owned public wallet data), are the exclusive intellectual property of Bvertere Protocol Inc. You are granted a limited, revocable, non-transferable, non-sublicensable license to access the interface strictly in accordance with these Terms.

8. LIMITATION OF LIABILITY & EXCLUSION OF WARRANTIES
8.1 "AS-IS" AND "AS-AVAILABLE": THE PLATFORM, GEO MINING PROTOCOLS, AND AI ENGINES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SYSTEM AVAILABILITY.
8.2 CAP ON LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BVERTERE PROTOCOL INC., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNATIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR CRYPTOGRAPHIC ASSETS) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Bvertere Protocol Inc., its affiliates, contractors, licensors, and their respective officers, directors, and employees from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, unauthorized spatial telemetry manipulation, or misuse of the Platform.
10. DISPUTE RESOLUTION & BINDING ARBITRATION
10.1 Mandatory Individual Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement or the breach, termination, or invalidity thereof, shall be finally settled by binding arbitration administered under the International Chamber of Commerce (ICC) Rules of Arbitration by a single arbitrator appointed in accordance with said Rules.
10.2 Class Action Waiver: YOU AGREE THAT ALL DISPUTES MUST BE RESOLVED ON AN INDIVIDUAL BASIS AND THAT YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING AGAINST THE COMPANY.
11. GOVERNING LAW & SEVERABILITY
This Agreement shall be governed by and construed in accordance with the laws of Delaware (USA), without regard to its conflict of law principles. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
